Terms of Service

1. Acceptance of Terms

By accessing Zedly AI (Zedly.ai) "the Service", you agree to be bound by these Terms. If you do not agree, do not use the Service. We reserve the right to refuse service to anyone for any reason at any time.

2. Service Description: "Vault" vs. "Desk"

Zedly AI provides two distinct data environments:

The Vault (Cold Storage)

A long-term document storage repository.

Vault data not accessed for extended periods may be moved to cold storage tiers requiring delayed restoration (typically up to 12–24 hours).

The Active Desk (Ephemeral Intelligence)

A temporary processing environment for AI analysis.

Zedly provides a single Active Desk per account. Only one Session may be restored to the Active Desk at any given time. Active Desk usage consumes processing resources.

Data Ownership: You retain all ownership rights to the files you upload ("Input"). Zedly AI assigns to you all rights to the charts, summaries, and text generated by the Service ("Output").

You acknowledge that:

  • Files in the Vault are encrypted at rest.
  • Files on the Active Desk exist in ephemeral memory (RAM) and are not permanently retained in that state.
    Active Desk storage is intended for temporary, active analysis only. Zedly reserves the right to automatically unload or archive Desk content exceeding plan limits.
  • Hibernation: When you "Hibernate" a project, vectors are deleted. You are responsible for re-indexing (waking up) the project to query it again.

3. Fair Use Policy

"Unlimited Secure Vault" is defined as storage for standard business documentation.

Permitted Files:

PDF, DOCX, TXT, CSV, MD, PPTX, XLSX.

Prohibited Files:

Video files (MP4, MOV), System Backups (ISO, IMG), Executables (EXE), and Illegal Content.

The "Media Cap"

Accounts utilizing the Vault primarily for non-document media storage are subject to a strict 1TB limit.

Excessive Use

We reserve the right to throttle or terminate accounts that exceed 20TB of storage or exhibit abnormal API usage patterns (e.g., automated scraping) without a dedicated Enterprise agreement.

Static Data

Static vault data accessed less than once per 90 days may be moved to our "Deep Freeze" tier, requiring 12-24 hour retrieval times.

4. Code Agents & Python Sandbox

No Warranty on Output: You acknowledge that Zedly AI executes code generated by AI. We do not guarantee the accuracy of charts, graphs, or mathematical calculations produced by these agents. You should verify all outputs before use in professional settings.

Security: Code execution occurs in a sandboxed environment without internet access. You agree not to attempt to break out of this sandbox, reverse engineer the Service, or execute malicious code.
Python Sandbox execution time, memory, and frequency are subject to plan-specific limits and may be throttled or suspended to ensure platform stability.

β€œAnalysis Credits” represent a unit of AI-assisted processing, including but not limited to document retrieval, summarization, extraction, and sandboxed computation. Credit consumption varies by workload complexity and context size.

5. Zedly Shield Plugin

Zedly Shield is an optional plugin for the OpenClaw agentic AI framework. It provides runtime policy enforcement, PII redaction, prompt injection detection, and tamper-evident audit logging for agentic AI workflows. This section governs your use of the Shield plugin and the Shield cloud dashboard.

Plugin Provided "As Is"

The Shield plugin is provided on an "as is" basis. Zedly does not guarantee that Shield will prevent all security threats, detect all prompt injection attempts, or catch all PII in tool output. Shield's prompt injection detection uses pattern matching and heuristics; it may produce false positives or miss obfuscated injection payloads. You should not rely on Shield as your sole security measure.

OpenClaw Dependency

Shield requires OpenClaw, a third-party open-source agentic AI framework. Zedly is not responsible for OpenClaw's functionality, availability, security, or any changes to its plugin API. If OpenClaw modifies its hook system or plugin interface, Shield functionality may be affected until an updated version is released.

No Compliance Certification

Shield generates technical evidence (event logs, hash chains, policy hit records) to support your internal compliance and audit processes. Shield does not itself constitute a compliance certification, regulatory approval, or guarantee of regulatory compliance. You are responsible for determining whether Shield's capabilities meet your organization's compliance requirements.

API Key Responsibility

When you create a Shield instance, you receive an API key that authenticates the plugin with the Zedly cloud dashboard. You are responsible for keeping this key secure. Zedly is not liable for unauthorized access, data exposure, or service misuse resulting from compromised API keys. You should rotate your key immediately if you suspect it has been compromised.

Plugin Updates

Shield plugin updates may introduce new default-enabled features (e.g., new PII detection categories or policy rules). These features are designed to enhance protection without requiring manual configuration changes. You can disable any feature by updating your openclaw.json configuration. Zedly will document new default-enabled features in the plugin changelog.

Event Metadata

When connected to the Zedly cloud dashboard, the Shield plugin transmits event metadata (tool names, sanitized paths, session IDs, policy hits, timestamps) to Zedly. No raw content, PII, or tool output is sent. See our Privacy Policy (Section 5) for a detailed description of the data collected.

6. Payment, Cancellation, and Refunds

Subscriptions: The Service is billed in advance on a monthly or annual basis.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle.

OpenClaw Setup / Shield Cancellation — Self-Hosted Install Is Yours. OpenClaw is a self-hosted Docker container that runs on your machine. If you cancel a Setup or Shield subscription (Solo, Consultant, or any successor tier), the following stay on your equipment and keep functioning: (i) the OpenClaw Docker container and its bind-mounted config.json, API keys, agent memory, and locally-cached Shield policies; and (ii) any one-time workflow packs you have already purchased. What ends at the end of your current billing period are the Zedly-hosted platform features that require an active subscription, including: Shield cloud dashboard and fleet view, cross-instance policy sync, cloud configuration backups, the monthly setup-agent token allowance, workflow marketplace updates, and your support-tier SLA. You may resubscribe at any time; your existing config.json will auto-reconnect to the cloud dashboard on the next handshake. Enterprise Setup/Shield customers are subject to the cancellation terms set out in their Order Form or Master Services Agreement, which control over this paragraph in the event of conflict.

Subscription Refunds: Subscription fees are non-refundable, except as required by applicable law or as expressly provided elsewhere in this Section 6. There are no refunds for partial months of service or unused time.

Workflow Pack Refunds: One-time OpenClaw workflow pack purchases are eligible for a 14-day "works or refund" guarantee. If a purchased workflow fails to deploy cleanly to a compatible OpenClaw instance, you may request a full refund within 14 days of purchase by contacting support. Refunds are issued via Stripe to the original payment method and typically settle in 3-5 business days. Refunds are not available once a workflow has completed three or more successful agent executions, once 14 days have elapsed since purchase, or for non-technical reasons (e.g. changed my mind). Token top-ups are non-refundable.

Engineer Session Refunds & Rescheduling. Engineer Sessions are a separate, one-time add-on (one scheduled session up to 45 minutes with a Zedly engineer). The following refund and rescheduling policy applies and governs over any general "non-refundable" language elsewhere in these Terms:

  • Customer cancels 24+ hours before the scheduled session: full refund to the original payment method.
  • Customer cancels within 24 hours of the scheduled session, or no-shows: non-refundable. The session credit is consumed.
  • Zedly reschedules: if we need to move the session, you may (i) pick a new time at no cost, or (ii) take a full refund to the original payment method.
  • Expiration: sessions must be scheduled within twelve (12) months of purchase. Unscheduled credits expire at the end of that window and are non-refundable after expiration.
  • Refund timing: refunds under this paragraph are issued via Stripe and typically settle in 3–5 business days.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms.
  • Non-payment of fees.
  • Abusive behavior towards support staff.

Sole Discretion

We reserve the right to refuse service if we determine that your use creates an undue financial burden (e.g., negative margin due to excessive compute usage) or legal risk to Zedly AI.

8. DISCLAIMER OF WARRANTIES ("AS IS")

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

ZEDLY, INC., ITS SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT WARRANT THAT:

(A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;

(B) ANY ERRORS OR DEFECTS WILL BE CORRECTED;

(C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR

(D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless Zedly, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party right, including intellectual property rights.

10. Limitation of Liability

To the maximum extent permitted by law, Zedly.ai shall not be liable for:

  • Any indirect, incidental, or consequential damages (including lost profits or data).
  • AI Hallucinations: Errors, inaccuracies, or offensive content generated by the AI models. You should never use Zedly AI for professional legal, medical, or financial advice without human verification.
  • Beta Features: Any data loss associated with features labeled "Beta" or "Experimental."

Liability Cap

In no event shall Zedly's aggregate liability exceed the greater of one hundred U.S. dollars (U.S. $100.00) or the amount you paid Zedly, if any, in the past six months.

11. Dispute Resolution (Arbitration)

PLEASE READ THIS SECTION CAREFULLY. It affects your rights.

You and Zedly AI agree that any dispute will be resolved by binding arbitration in Florida, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

12. Service Levels

This section defines the service level commitments for Zedly's managed cloud platform ("Secure Cloud"). These commitments apply only to paid plans and only to infrastructure managed by Zedly. Self-hosted, VPC, and air-gapped deployments are excluded β€” the customer is responsible for uptime and availability in those environments.

12.1 Uptime

Zedly targets 99.9% monthly uptime for the Secure Cloud platform. Monthly uptime is calculated as:

(Total minutes in month − Downtime minutes) ÷ Total minutes in month × 100

Exclusions. The following are not counted as Downtime:

  • Scheduled maintenance with at least 48 hours' advance notice
  • Force majeure events (natural disasters, war, government action)
  • Outages caused by third-party infrastructure providers beyond Zedly's control
  • Issues caused by the customer's equipment, software, or network
  • Periods where the customer's usage exceeds documented plan limits

12.2 Support Response Times

Business hours are Monday through Friday, 9:00 AM to 6:00 PM Eastern Time, excluding U.S. federal holidays. Response time is measured from when the support request is received to when Zedly provides an initial substantive response (not resolution).

12.3 Service Credits

If Zedly fails to meet the 99.9% monthly uptime target, eligible customers on paid plans may request service credits as follows:

Monthly Uptime Service Credit
99.0% – 99.9% 10% of that month's subscription fee
95.0% – 99.0% 25% of that month's subscription fee
Below 95.0% 50% of that month's subscription fee

Credit terms:

  • Credits must be requested within 30 days of the affected month by contacting support.
  • Credits are applied to future invoices and are not redeemable for cash or refunds.
  • Total credits for any single month shall not exceed 50% of that month's subscription fee.
  • Service credits are the sole and exclusive remedy for any failure to meet the uptime target.
  • Customers with overdue balances or accounts in violation of these Terms are not eligible for credits.

13. General

Governing Law: These Terms shall be governed by the laws of the State of Florida.

Feedback: Any suggestions or feedback you provide to Zedly AI regarding the Service shall be deemed non-confidential and we shall be free to use them without any obligation to you.
